Terms of Service

1. The Service

MemoSnap EMR is recordkeeping, scheduling, and practice-documentation software for licensed physicians and their clinics. By creating an account or using the Service you agree to these terms.

The Service is software, not medicine. It does not provide medical advice, diagnosis, or treatment recommendations, and nothing in it should be understood as clinical guidance. The physician remains solely responsible for all clinical decisions, for the accuracy and completeness of the records they keep, and for compliance with the professional and legal standards that apply to their practice.

2. Accounts and staff access

Each deployment of the Service serves a single physician’s practice. The doctor account owns the instance and may invite staff (secretaries, assistants) with limited permissions. You are responsible for keeping credentials confidential, for the actions taken under your accounts, and for promptly deactivating staff who leave your practice. You must provide accurate registration details, including a valid PRC license number.

3. Acceptable use

You agree to use the Service only for lawful practice management, to enter only data you are entitled to process, and not to attempt to gain unauthorized access to the Service, other instances, or other users’ data. We may suspend accounts that present a security risk to patient data.

4. Subscriptions and payment

The Service is provided under the subscription plan agreed with us. Billing is currently handled directly (invoice/manual payment). If a subscription lapses, access may be suspended after reasonable notice; clinical data is not deleted for non-payment without prior notice and an opportunity to export it.

5. Your data

Clinical records entered into the Service belong to the practice. We process them only to provide the Service, as described in our Privacy Policy. On termination, you may request a complete export of your data; after a reasonable grace period we will delete it from our systems.

6. Availability and support

We aim to keep the Service available and backed up at all times, but it is provided “as is” and we do not guarantee uninterrupted availability. You should maintain independent copies of records you are legally required to retain where regulations demand it. Support is available at hello@memosnap.cc.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the Service is limited to the subscription fees paid in the twelve (12) months preceding the claim. We are not liable for clinical outcomes, professional liability, or indirect or consequential losses. Nothing in these terms limits liability that cannot be limited under Philippine law.

8. Changes and termination

We may update these terms with reasonable notice to the account holder; continued use after notice constitutes acceptance. Either party may terminate with notice; sections on data export, liability, and privacy survive termination.

9. Governing law

These terms are governed by the laws of the Republic of the Philippines. Any disputes shall be brought before the proper courts of the Philippines.
